Terms of Service
Last updated: 12 October 2026 (draft)
1. About these Terms
These Terms of Service (“Terms”) govern your use of the SwiftlinkPay website, merchant dashboard, hosted checkout, payment links and API (together, the “Services”), provided by Swiftlink Global Services Limited, RC [RC number], whose registered address is [Registered address] (“SwiftlinkPay”, “we”, “us”).
If you open a merchant account, these Terms apply together with the merchant agreement you accept during onboarding and any pricing or other schedules we agree with you (the “Merchant Agreement”). If there is a conflict, the Merchant Agreement prevails. [Legal review: confirm document hierarchy.]
By using the Services you agree to these Terms. If you do not agree, do not use the Services.
2. Eligibility and your account
- Merchant accounts are for businesses and individuals acting in the course of business who are able to enter into a binding contract. [Confirm eligibility criteria, e.g. registration in Nigeria.]
- You must give accurate, complete information during sign-up and onboarding and keep it up to date. We may verify the information and request further documents.
- We may decline to open an account, or limit what an account can do, until onboarding and verification are complete.
- You are responsible for everything done through your account, including by team members you invite. Keep your login credentials secure and tell us promptly if you suspect unauthorised access.
3. API keys and integration
- You receive separate keys for the sandbox and live environments. Your private keys are confidential: keep them on your servers only and never expose them in client-side code, apps or public repositories.
- You are responsible for your integration and for following our documentation.
- Confirm the status of each payment through our API before you deliver goods or services. A redirect to your callback URL alone is not confirmation of payment.
- If you collect card data yourself (server-to-server integration), you are responsible for your own compliance with the Payment Card Industry Data Security Standard and card scheme rules.
- The sandbox is for testing only and must not be used to process real payments.
4. Your obligations as a merchant
- Comply with all laws and regulations that apply to your business and to accepting payments.
- Comply with applicable card scheme, bank and payment partner rules that we tell you about.
- Not use the Services for any unlawful, fraudulent or prohibited purpose, or for any business on our prohibited or restricted list [link or schedule to be provided].
- Describe your goods and services accurately and honour your own refund and delivery policies.
- Handle your customers' personal data lawfully, including under the Nigeria Data Protection Act 2023, and provide them with any notices required by law.
5. Fees
You agree to pay the fees set out in your Merchant Agreement or otherwise agreed with us in writing. We may deduct fees from amounts we settle to you. [Legal/commercial review: fee changes, notice period and taxes.]
6. Settlement
We settle funds due to you, less fees, refunds, chargebacks and any other amounts you owe us, to the settlement account verified on your merchant account, on the schedule set out in your Merchant Agreement. [Settlement timing and conditions to be confirmed.]
7. Refunds, chargebacks and reserves
- You are responsible for refunds you issue and for chargebacks raised by cardholders on your transactions.
- We may recover the amount of refunds, chargebacks, related fees and fines imposed by payment partners from your settlements or by other lawful means.
- Where risk requires it and as set out in your Merchant Agreement, we may hold back part of your settlements as a reserve for a period, to cover potential refunds and chargebacks.
8. Suspension and termination
We may suspend or restrict your account, hold funds, or terminate the Services if we reasonably believe you have breached these Terms or the Merchant Agreement, if required by law or a payment partner, or to prevent fraud or financial loss. Where lawful, we will tell you why. You may close your account by contacting us, subject to settling any outstanding amounts. [Notice periods to be confirmed.]
9. Data protection
Our Privacy Policy explains how we handle personal data. Where we process personal data on your behalf, the data processing terms in your Merchant Agreement apply. [Data processing agreement to be prepared.]
10. Intellectual property
We own the Services, our software, documentation and brand. We grant you a limited, non-exclusive, non-transferable licence to use them to accept payments while your account is active. You may use our name and logo only to show that you accept payments through SwiftlinkPay.
11. Availability and changes
We work to keep the Services available but do not guarantee uninterrupted or error-free operation. We may change or update the Services, including the API, and will give reasonable notice of changes that materially affect existing integrations where we can.
12. Disclaimers and limitation of liability
To the extent permitted by law, the Services are provided “as is” and we exclude all implied warranties. We are not liable for indirect or consequential losses, or for loss of profit, revenue or data. Our total liability to you in connection with the Services is limited to [liability cap]. Nothing in these Terms limits liability that cannot be limited by law.
13. Indemnity
You will compensate us for losses, fines, penalties and reasonable costs arising from your breach of these Terms, the Merchant Agreement or applicable law, or from your goods and services.
14. Governing law and disputes
These Terms are governed by the laws of the Federal Republic of Nigeria. Disputes will be resolved by [forum: courts of a named State, or arbitration seat and rules]. [Legal review required.]
15. Changes to these Terms
We may update these Terms. We will post the new version on this page with a new date and, for material changes, notify merchants in advance by email or in the dashboard.
